STANDARD TERMS AND CONDITIONS OF SALE

  1. Buyer's purchase is limited to and expressly conditioned upon these Terms and Conditions contained in York Wallcoverings' quotation and/or order acknowledgment form. No other terms or conditions, including any terms and conditions contained in Buyer's purchase order, shall apply unless expressly agreed to by YORK WALLCOVERINGS, in writing. 

  1. Each order shall be subject to, and YORK WALLCOVERINGS shall be excused from, any prohibition, failure, interruption or delay in manufacture or delivery. 

  1. YORK WALLCOVERINGS will, at its option, replace or render credit for any material which, if properly selected, stored and used by Buyer, shall prove defective within 120 days from the date of shipment. In no event shall YORK WALLCOVERINGS' liability for defective material exceed the purchase price thereof. NO WARRANTY OF MERCHANTABILITY OR WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED, SHALL APPLY TO MATERIALS SOLD BY YORK WALLCOVERINGS. 

  1. In no case are goods to be returned without YORK WALLCOVERINGS' prior consent. All returns must accompany a valid return authorization number. Any return without a valid authorization number will not receive credit, refund or exchange. 

  1. Any excise, levies, or taxes which YORK WALLCOVERINGS is required to pay or collect, under any existing or future law or regulation (domestic or foreign), upon or with respect to the sale, purchase, delivery, storage, processing, use, consumption or transportation of any of the material covered herby, shall be for the account of the Buyer and Buyer agrees to pay the amount thereof to YORK WALLCOVERINGS upon request. 

  1. Buyer agrees to respect York Wallcoverings' branding and distribution policies (authorized sales channels, territories, minimum advertised pricing, etc.) and recognizes that these policies may change over time and according to the sales channel or product line / brand. 

  2. Delivery shall occur, and risk of loss shall pass to Buyer, upon delivery of the material to a carrier at the point of shipment. Transportation shall be at Buyer's sole risk and expense, and any claim for loss or damage in transit shall be against the carrier only. 

    1. Title to materials shall pass immediately upon delivery to carriers. Buyer hereby grants to YORK WALLCOVERINGS a security interest in all materials sold by YORK WALLCOVERINGS to Buyer to secure the prompt and full payment of any and all amounts now or at the time hereafter owning by Buyer to YORK WALLCOVERINGS. Buyer will execute financing statements or any other documents reasonably, required by YORK WALLCOVERINGS, to evidence and perfect the security interest granted pursuant to this paragraph. 

    1. Once accepted by YORK WALLCOVERINGS, an order cannot be modified or cancelled by Buyer without the consent of YORK WALLCOVERINGS. 

    1. The Buyer's terms are stated on the invoice. Payments not made within 30 days from the due date of invoice will be subject to a late charge of 1.5% per month, with the Buyer obligated to pay all costs of collecting overdue accounts, including reasonable attorney fees. 

    1. YORK WALLCOVERINGS may, at any time or times, suspend performance of any order or require payment in cash, security or other adequate assurance satisfactory to YORK WALLCOVERINGS   when,   in   YORK 

    WALLCOVERINGS' opinion, the financial condition of the Buyer or other grounds for insecurity warrant such action. 

    1. This agreement constitutes the entire contract between YORK WALLCOVERINGS and Buyer. 

    1. This agreement shall be governed by, and construed in accordance with the laws of the Commonwealth of Pennsylvania. Buyer hereby consents to personal jurisdiction and venue in the counts of York County, Pennsylvania, of all disputes arising under this agreement.
